Below are our general terms and conditions for utilizing our website and services. Acceptance of our quotation implies agreement with these terms and conditions. Our approach is transparency and clarity in our project engagements.

Quotations

Our commitment is to furnish precise quotations, typically presented as general estimates. Should you desire a more comprehensive quote, we encourage you to communicate this requirement within the quotation period. Your satisfaction with our services is of utmost importance, and we strive to accommodate your specific needs.

Work Scope

Every quotation is accompanied by an anticipated work scope, usually discussed beforehand, encompassing functionality, design work, and all necessary tasks for completion. Any requests falling outside this predefined work scope will necessitate a recalculation of your quotation. This recalculated amount will be communicated to you before the additional work commences, and your agreement will be sought prior to proceeding.

Copyright

The copyright and licensing for all graphic designs, code, documentation, or any elements included within the work scope, including, but not limited to, full website designs, banners, icons, images, and overall element placement, are the exclusive property of "PlusTime IT" until the final payment has been released. Any unauthorized use, copying, or distribution while "PlusTime IT" retains the license is strictly prohibited. Upon the completion of the final payment, full copyright is transferred to you.

Phases and Milestones

Considering the project's scale, it is common to segment developments into Phases, each comprising individual Milestones. A comprehensive development plan will be formulated, encompassing, but not limited to, all Phases and associated Milestones, specifying the completion deadlines for the work scope and the requisite milestone payments.

Deposit and Milestone Payments

In order to reserve our dedicated time, all projects, irrespective of their size, will necessitate a deposit ranging from 25% to 50% before initiating any work. This deposit covers various aspects, including but not limited to advice, designs, code, mockups, or wireframes. The development plan will explicitly outline when the remaining payments are due, linked to the completion of specific milestones.

Quality Assurance

As an integral part of our business, we firmly stand by the quality of our work, backed by a robust guarantee. This commitment specifically applies to the quoted work scope and is rendered null and void in the event of tampering. Tampering includes, but is not confined to, adjustments to the server environment, addition or removal of content, modification of features, attempts to rectify issues without prior notification to "PlusTime IT", or any alterations/updates to the code or resources. It is important to acknowledge that our guarantee does not encompass third-party apps or code utilized in any development.

Liability

Recognizing that code deployment may not always be a seamless "drop and play" experience, the complexity of server environments introduces significant variations. Despite our utmost efforts to mitigate risks, we do not accept responsibility for any loss or damages to your business resulting from such circumstances. It is strongly recommended to create a comprehensive backup of your prior website, encompassing files, settings (such as DNS), and both the database structure and data.

Support

Diagnostic Debugging

Determining the root cause of issues with hardware, software, or your website requires a meticulous debugging and testing procedure. This thorough examination, which involves checking and ruling out various possibilities, may take hours. Our Diagnostic Fee remains applicable, irrespective of whether the fault is identified, emphasizing our commitment to a rigorous debugging and testing approach.

Fair Go Policy

As an Australian business, we strongly uphold the principle of a "Fair Go" for everyone involved. In the event that our code deviates from the initially quoted work scope or if any bugs emerge during its live operation, we are committed to providing complimentary fixes, assuming our "Quality Guarantee" remains intact. In alignment with the principle of a "Fair Go," we strive for equitable client relationships. While we are committed to accommodating multiple revisions across all our services to ensure your satisfaction, it is essential to note that redesigning a website or page beyond the approved Design Phase is not within the scope of our services. This standard applies consistently to all the services we offer.

Extended Deadlines Policy

Our commitment is to meet all deadlines, recognizing that unforeseen circumstances may occasionally lead to extensions. In cases where a deadline extends beyond two weeks, "PlusTime IT" may extend a discount as a gesture for any inconveniences incurred, unless the work scope has been redefined. Conversely, if you, the client, have paid the deposit and work has commenced, "PlusTime IT" retains the discretion to apply additional charges to the quotation should the project experience a delay exceeding two weeks, attributed to reasons on your end. These reasons include, but are not limited to, delayed responses to communications, unforeseen circumstances, or any factors causing a project delay. The application of discounts and additional charges is at "PlusTime IT" discretion.

Late Payments Policy

We acknowledge that life can present challenges, but it's essential that completed work is duly compensated. In the event you anticipate difficulties with one of your Milestone payments, please inform us at least 7 days beforehand, and we can coordinate an extension. Milestone payments that surpass the due date without an approved extension will incur a 2.5% Late Payment Fee. Your timely communication is appreciated, and we are open to working together to address any financial challenges.

Non-Payment Policy

In the event of non-payment for services rendered, "PlusTime IT" reserves the right to take appropriate measures to protect its intellectual property rights. This includes but is not limited to retaining copyright ownership of all work completed until full payment is received. Failure to remit payment within the specified timeframe may prompt "PlusTime IT" to initiate a copyright takedown notice to the client's hosting and/or domain provider. This action is undertaken with the intention of safeguarding our proprietary work but may result in potential business disruption or unintended consequences for the client. We strongly advise timely settlement of outstanding payments to avoid such actions and maintain a cooperative and mutually beneficial business relationship.

Communication Channels

The Client and "PlusTime IT" agree to maintain effective communication through agreed-upon channels for project updates, support requests, and billing inquiries. Preferred communication methods include email for general correspondence and a designated project management platform for real-time updates and collaboration.

Escalation Procedures

In the event of disputes or issues, both parties acknowledge the importance of swift resolution. Escalation procedures are outlined as follows: Should any matter require escalation, the aggrieved party shall submit a formal written notice to the designated point of contact at "PlusTime IT", initiating a structured process for resolution. Further escalation, if necessary, shall be addressed through a mutually agreed-upon arbitration or mediation process.

Data Protection and Privacy

Both parties acknowledge the significance of data protection and privacy. "PlusTime IT" commits to handling client data in accordance with applicable data protection laws and regulations. Detailed data protection and privacy practices are outlined in a separate Data Processing Agreement, which shall form an integral part of this contractual agreement.

Termination of Services

Termination conditions are established to ensure a fair and transparent process. Either party may terminate the services under specific circumstances, as outlined in the agreement. Termination notices must be submitted in writing, and both parties agree to fulfill any outstanding financial obligations and deliverables as specified in the agreement.

Force Majeure

Both parties acknowledge that unforeseen circumstances, such as acts of God, natural disasters, or other force majeure events, may impact project timelines and responsibilities. In such instances, the affected party shall promptly notify the other, and both parties agree to collaborate in good faith to mitigate any adverse effects on the project.

Indemnification

To mitigate potential legal risks, both parties agree to indemnify and hold harmless the other party from and against any claims, liabilities, losses, or damages arising out of the agreement, except where such claims result from the other party's willful misconduct or gross negligence.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of Queensland, Australia. Both parties agree that any legal disputes or claims arising out of or related to this agreement shall be resolved exclusively in the competent courts of Queensland, Australia.

Errors and Omissions

While "PlusTime IT" endeavors to provide accurate and reliable services and guidance, inadvertent errors or omissions may occur. In the event of any such errors or omissions, "PlusTime IT" agrees to promptly rectify the issue to the best of its ability. Clients are encouraged to report any discrepancies or concerns, and "PlusTime IT" will work collaboratively to resolve the matter in a timely manner. This clause is not intended to relieve "PlusTime IT" of its responsibility for willful misconduct or gross negligence.

Modification of Terms

"PlusTime IT" reserves the right to update or modify these terms and conditions at any time. Clients will be notified of any changes, and it is their responsibility to review the updated terms. The revised terms will become effective immediately upon notification unless work has commenced, in which case the client's explicit reacceptance of the updated terms is required. Continued use of our services after the effective date constitutes acceptance of the modified terms.

Contractual Agreement

In the event that the client enters into a specific written contract with PlusTime IT for the provision of services, the terms and conditions outlined in that contract shall supersede and take precedence over the general terms and conditions stated herein. The specific contract shall govern the rights, obligations, and responsibilities of both parties concerning the scope of work, pricing, and other relevant terms.
